  3.                   ASSOCIATION AGREEMENT OF THE

  12. The undersigned, herewith agree to engage in  operating a
  13. computer  telecommunications service (also known as a computer
  14. bulletin  board) as a not for profit association, hereby form an 
  15. association. 
  16.  
  17. The name of the association shall be the County Teacher's
  18. Association . The principal office of the association
  19. will be located at: 
  20.  
  21. County School Board Building 
  22.  
  23. and no rental shall be charged for occupation of the premises.
  24. Additional or substitute offices may be agreed upon from time to
  25. time by the parties. 
  26.  
  27. The association's existence shall commence on November 13, 1995
  28. and it shall continue until dissolved either by mutual agreement
  29. or by operation of law. 
  30.  
  31. The associates will contribute as follows: 
  32.

  34.  
  35. No associate shall have the right to demand repayment of their 
  36. capital contribution unless the same is through a dissolution of 
  37. the partnership and a winding up of its affairs. 
  38.  
  39. Decisions by the association shall be made by majority vote. 
  40.  
  41. Books of account of the transactions of the association shall be
  42. kept at the principal place of business of the partnership. The
  43. books of account of the association shall be available for
  44. inspection by all times by the partners. Each associate shall be
  45. required to report all transactions related to associate business 
  46. promptly and accurately. 
  47.  
  48. The associates shall determine the net operating  results of
  49. the association. The associates may by majority vote,  agree to
  50. distribute any surplus to any charitable organization. 
  51.  
  52. Each associate shall have the right to manage the affairs of the
  53. association in the ordinary course of the partnership's business.
  54. However, no association shall have the authority to: 
  55.  
  56.                            
  57. a) confess judgment against the association; 
  58.  
  59. b) convey substantially all of the partnership assets 
  60.  
  61. without prior approval by majority vote. 
  62.  
  63. This association shall terminate upon the death, bankruptcy or
  64. incompetency of any associate. Thereupon the remaining associates 
  65. shall act as trustees for the association and shall promptly wind 
  66. up the affairs of the association unless the remaining partners
  67. agree that they will continue the association. No associate shall 
  68. personally profit from the operations of the association.
